1. Acceptance of terms

By accessing or using the AgroTech USA website at agrotechusa.com (the “Site”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Site. AgroTech USA LLC (“AgroTech,” “we,” “our,” or “us”) reserves the right to modify these Terms at any time, and your continued use of the Site constitutes acceptance of any changes.

2. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable federal, state, or local laws
• Attempt to gain unauthorized access to any part of the Site or its systems
• Interfere with or disrupt the Site’s operation or servers
• Use any automated system (bots, scrapers) to access the Site without permission
• Transmit any malicious code, viruses, or harmful data
• Impersonate any person or entity or misrepresent your affiliation

3. Intellectual property

All content on the Site — including text, graphics, logos, images, data, software, and other materials — is the property of AgroTech USA LLC or its licensors and is protected by United States and international intellectual property laws. NutriCharge®, TriPhase™, PowerPlant®, TRIUNE®, P-Drive™, and NutriCharge® LST are trademarks or registered trademarks of AgroTech USA LLC. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without our prior written consent.

Product names, trademarks and technical materials belonging to our partners remain the property of those partners, and are used on the Site with permission.

4. Product information

Product descriptions, trial data, yield results, and performance claims on the Site are provided for informational purposes only. Actual results may vary based on soil conditions, weather, crop variety, management practices, and other factors. AgroTech USA makes no guarantee of specific yield increases or financial returns. Always read and follow product labels before use.

5. Calculators and tools

The ROI calculators, program builders, and other interactive tools on the Site are provided as estimation tools only. Results generated by these tools are projections based on historical trial data and the figures you enter, and do not constitute guarantees of performance or financial outcomes. Where a tool asks you for your own quoted price, the output depends entirely on the accuracy of what you enter. You should consult with your agronomist or AgroTech representative before making purchasing decisions.

6. Trial data access

Access to our trial data portal requires registration and is subject to additional terms. Trial data is provided for informational and evaluation purposes. You may not redistribute, republish, or commercially exploit trial data without written authorization from AgroTech USA.

7. Dealer portal

Parts of the Site are restricted to authorized AgroTech USA dealers and are available only to accounts we have approved. If you are granted access:

• Your credentials are personal to you and may not be shared, forwarded, or used by anyone else.
• Pricing, margin structure, program terms and any other commercial information made available there are confidential. You may use them to sell AgroTech USA products and for no other purpose, and you may not disclose them to any third party.
• Materials belonging to our partners are provided under the terms those partners set, and may carry their own restrictions on redistribution.
• We may suspend or withdraw access at any time, including when a dealer relationship ends, and you must stop using and delete confidential materials if we do.

Access to the dealer portal does not create a dealership, distributorship, agency or franchise, and does not by itself entitle you to any pricing or program terms. Those are set out in your dealer agreement, which governs if it conflicts with anything here.

8. User submissions

When you submit information through contact forms, quote requests, access requests, or other submissions on the Site, you grant AgroTech USA the right to use that information to respond to your inquiry, connect you with dealers, and provide relevant product information. We handle all personal information in accordance with our Privacy Policy.

9. Third-party links

The Site may contain links to third-party websites or services. AgroTech USA does not control, endorse, or assume responsibility for any third-party sites or their content. Your use of third-party sites is at your own risk and subject to those sites’ terms and policies.

10. Disclaimer of warranties

THE SITE AND ALL CONTENT, TOOLS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AGROTECH USA DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AGROTECH USA LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR ANY CONTENT, PRODUCTS, OR SERVICES OBTAINED THROUGH THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

12. Indemnification

You agree to indemnify, defend, and hold harmless AgroTech USA LLC and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses arising from your use of the Site or violation of these Terms.

13. Governing law

These Terms shall be governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Johnson County, Kansas.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
